THE COALITION AGREEMENT Between UNITED DEMOCRATIC ALLIANCE PARTY AND AMANI NATIONAL CONGRESS PARTY & FORD - KENYA PARTY

This COALITION AGREEMENT is made on this day of..April.2022 by and between The United Democratic Alliance Party (hereinafter , " UDA " ) on the first part, AND Amani National Congress Party (hereinafter , " ANC " ) and Forum for the Restoration of Democracy -Kenya Party ( hereinafter , " FORD- Kenya " ) , on the second part ( hereinafter together , the " Founding Member Parties " ) ;

WHEREAS the Founding Member Parties have resolved to participate in the General Elections scheduled in the Republic of Kenya on 9th August 2022 as a Coalition of political parties bearing the name and style of KENYA KWANZA ALLIANCE abbreviated as " KKA " , ( hereinafter the"Coalition" ) ;

WHEREAS FURTHER the Founding Member Parties consider each one of them as a distinct , independent and equal partner bringing into the coalition unique contribution ;

ACKNOWLEDGING that the Founding Member Parties commit to approaching the aforesaid General Elections of 9th August 2022 as a common front and to thereafter form an inclusive Government that reflects the face of Kenya ;

CONSIDERING that the respective signatories hereof are authorized and mandated by the relevant organs of the respective Founding Member Parties to negotiate and enter into alliances and coalitions with other parties and individuals with the aim of winning the General Elections of 9th August 2022 and subsequently forming Government ;

COGNIZANT of the requirements of the Political Parties Act and other relevant laws ;DESIROUS of forming a Coalition of the afore named Parties as Founding Member Parties ; NOW THEREFORE the Founding Member Parties doth agree as follows :

ARTICLE 1 : NAME

The Coalition of Parties herein established shall be called " The Kenya Kwanza Alliance "abbreviated as " KKA " .

ARTICLE 2: SLOGAN

The Coalition Slogan shall be " KENYA KWANZA: KAZI NI KAZI, UCHUMI BORA, PESA MFUKONI "

ARTICLE 3: FOUNDING MEMBER PARTIES

The Member Parties of the Coalition are the United Democratic Alliance Party ( UDA ) , Amani National Congress ( ANC ) and Forum for Restoration of Democracy - Kenya Party ( FORD - Kenya ) , herein after collectively referred to as " Founding Member Parties " .

ARTICLE 4 : POLICIES AND OBJECTIVES

The policies and objectives of the Coalition are to :

a ) Entrench the culture of democracy through free , fair , transparent and verifiable elections ;

b ) Form an inclusive , responsive and accountable Government ;

c ) Reform the economy of Kenya to ensure inclusivity , eradication of extreme poverty, a sustainable public debt , empowerment of citizens through deliberate and measurable Bottom- Up economic policies to create employment , promote equity and improvement of livelihoods .

d ) Promote the principles of equality , equity and justice within the Republic .

e ) Achieve food security and affordable livelihoods for all Kenyans .

f ) Respect the system of devolved Government , defend the functional dichotomy and distinctiveness of the two - tier National Government and County Governments , and fully effect the respective roles of the National Government and the County Governments as prescribed in the Constitution of Kenya .

g ) Ensure effective and efficient delivery of services offered by the National Government across the Republic by affirming , strengthening and streamlining the National Administration system previously known as the Provincial Administration while respecting the functional dichotomy and distinctiveness of the two - tier National Government and the County Governments as prescribed in the Constitution of Kenya .

h ) Respect , promote and safeguard the operational and financial autonomy of the Judiciary and all independent institutions and offices ;

i ) Promote the ideals of the East African Community and other regional integration commitments , the African Union as well as the United Nations and other multilateral commitments .

ARTICLE 5 : SUPREMACY OF THIS AGREEMENT

a ) This Coalition Agreement shall be the Constitution the Coalition and binds all Founding Member Parties , Future Member Parties and their respective individual party members .

b ) No Founding or Future Member Party may claim to exercise any authority except as authorized under this Agreement .

c ) The validity or legality of this Agreement may not be subject to challenge by any Founding or Future Coalition Member Party or their respective individual party members before any organ of the Coalition .

d ) Any Constitution , rules , regulations or guidelines -whatever the nomenclature of Founding or Future Member Parties which is inconsistent to this Agreement is null and void to the extent of the inconsistency .

ARTICLE 6 : GUIDING PRINCIPLES

ARTICLE 6 : CODE OF CONDUCT

The Parties are bound by and shall abide by the Code of Conduct for Political Parties provided for under the Political Parties Act and other relevant laws of Kenya .

ARTICLE 7 PRIORITY PROJECTS AND PROGRAMMES

Upon winning the Presidential Elections scheduled for 9th August 2022 , the Coalition Administration shall ensure the following within the 2022-2027 Development cycle :

a ) Reverse all operational changes that have been carried out in the recent past whose effect has been to relocate some of the core activities of Kenya's main sea port from Mombasa to inland depots in Nairobi and Naivasha ; to this end the necessary administrative and legislative measures shall be undertaken within a year effective 9th August 2022 ;

b ) Put in place necessary reforms to ensure the Port of Lamu brings measurable employment and other economic benefits to the local communities 

c ) Revive the cashew nuts , coconut and Bixa industries especially in the coastal region ;

d ) Involve local communities in the management and benefit sharing of the resources associated with the Blue Economy ;

e ) Establish a benefit sharing arrangements between the National Government and local communities in the coastal region in respect to mining and other natural resources ;

f ) Review the Coast Guard Act and other laws to enhance the protection of local communities ' fishing and other economic activities ;

g ) Address historical land injustices especially at the coast including necessary reforms of relevant laws and the setting up of a land compensation fund to assist the locals to progressively acquire / purchase land from absentee landlords ; to this end budgetary allocations shall be provided for to achieve these aims effective 9th August 2022 for the entire five ( 5 ) year period .

h ) Promote inclusivity of residents of the coastal region into the management and equitable benefit sharing of the national assets located at the Coast ; and

1 ) Ensure equitable representation of residents of the Coast region in National Government Appointments and their equitable representation in all the cadres of the Civil Service , disciplined forces , Kenya's diplomatic staff and all sectors of the public service.

ARTICLE 10 : THE COUNTY ASSEMBLY CAUCUS

a ) All elected and nominated members of the County Assembly in each County elected or nominated by or through any of the Founding Member Parties shall be members of the Coalition County Assembly Caucus .

b ) The Coalition County Assembly Caucus shall elect is own Chairperson and Vice Chairperson within thirty ( 30 ) days after the swearing in of members of the respective County Assembly .

c ) The Coalition County Assembly Caucus shall meet at least once every month or as more frequently as may be deemed necessary .

d ) The first meeting of the Coalition County Assembly Caucus shall be convened by an official from the headquarters of any of the Founding Member Parties as may be decided by the Party Leaders Forum for each County and for that particular purpose only .

e ) The role of the Coalition County Assembly Caucus shall be to plan , review and track the Coalition's legislative and representational agenda in the County Assembly , including the agreed policies , policies , programmes and legislative proposals of the Coalition in the relevant County .

f ) The Coalition County Assembly Caucus shall submit to the Party Leaders Forum through the Chairperson of the Caucus , a summary annual report each year on the progress made and any gaps in the realization of the agreed Coalition Legislative Agenda in the County and any other matter relevant to the Coalition manifesto , objectives and policies that it may be deemed necessary to report on .

ARTICLE 11 : THE PARLIAMENTARY GROUP

a ) There shall be a Coalition Parliamentary Group consisting of elected and nominated members of the National Assembly , the Senate and the East African Legislative Assembly who are elected or nominated by or through any of the Founding Member Parties .

b ) The Coalition Parliamentary Group shall be chaired by the Coalition Presidential Candidate and in his absence by the Coalition Deputy Presidential Candidate .

c ) Members of the Party Leaders Forum shall be ex - offico members of the Coalition Parliamentary Group .

d ) The Chairperson of the Coalition Parliamentary Group shall convene the first meeting of the Parliamentary Group within thirty ( 30 ) days following the swearing in of members of the Parliamentary Group .

e ) The Coalition Parliamentary Group shall elect a Coalition Parliamentary Group Secretary , a Coalition Parliamentary Group Whip and such other coordinating officials as may be deemed necessary for ease of the Coalition's agenda in the National Assembly , the Senate and the East African Legislative Assembly .

f ) ANC and FORD- Kenya shall nominate for election , the Secretary and the Whip of the Coalition Parliamentary Group as may be agreed among the two Member Parties .

g ) After its first meeting , the Coalition Parliamentary Group shall be convened once every three ( 3 ) months or otherwise as frequently as may be deemed necessary .

h ) The role of the Coalition Parliamentary Group shall be to assist the Party Leaders Forum to plan , review and track the implementation of the Coalition's legislativeand representational agenda in the National Assembly , the Senate and the East African Legislative Assembly including the agreed policies , policies , programmes and legislative proposals of the Coalition in the National Assembly , the Senate and the East African Legislative Assembly .

ARTICLE 12 : THE GOVERNORS FORUM

a ) The County Governors elected through the ticket of any of the Coalition shall form the Coalition Governors Forum .

b ) The first meeting of the Coalition Governors Forum shall be convened by an official from the headquarters of any of the Founding Member Parties as may be decided by the Party Leaders Forum for that particular purpose only .

:) The Coalition Governors Forum shall be convened within thirty ( 30 ) days following the swearing in of all County Governors and thereafter at least once every three ( 3 ) months or otherwise as may be deemed necessary

e ) The Party Leaders Forum shall meet at least twice every month before the General Elections of 9th August 2022 and thereafter once every three months or as may be otherwise necessary .

f ) Meetings of the Party Leaders Forum shall be convened either by the Chairperson or by joint requisition by the other two members of the Party Leaders Forum .

ARTICLE 15 : OTHER COALITION STRUCTURES

a ) The Party Leaders Forum may approve and / or authorize establishment of any other Coalition structures that the Forum may deem necessary from time to time .

b ) The powers , roles and functions of other Coalition Structures that may be established under this Article shall be defined in a Deed of Variation of this Agreement signed by all members of the Party Leaders Forum and / or an appropriate Schedule to this Agreement .

ARTICLE 16 : NOMINATION OF MEMBER OF COUNTY ASSEMBLY CANDIDATES

The Founding Member Parties may field joint or separate Member of County Assembly candidates in each Ward within the Republic of Kenya , as may be agreed through the indirect nomination by consensus of the Party Leaders Forum on a case - by- case basis .

ARTICLE 17 : NOMINATION OF PARLIAMENTARY CANDIDATES

The Founding Member Parties may field joint or separate Member of National Assembly or Senate candidates in each Constituency or County within the Republic of Kenya, as may be agreed through indirect nomination by consensus of the Party Leaders Forum on a case - by- case basis .

ARTICLE 18 : NOMINATION OF GUBERNATORIAL CANDIDATES

a ) The Founding Member Parties may field joint or separate Gubernatorial Candidates in each County within the Republic of Kenya , as may be agreed

through indirect nomination by consensus of the Party Leaders Forum on a case by case basis .

b ) Details of any consensus of the Founding Member Parties relating to joint or separate Gubernatorial Candidates shall be provided in a separate Schedule to be concluded before the General Elections scheduled for 9th August 2022 .

ARTICLE 19 : SHARING OF COUNTY ASSEMBLY RESPONSIBILITIES / LEADERSHIP

a ) Subsequent to the General Elections of 9th August 2022 , the Founding Member Parties shall allocate positions of Responsibility / Leadership particularly the positions of the Speaker, the Deputy Speaker, Nominated MCAs, Assembly Leaders of Majority or Minority as the case may be ; Majority or Minority Whips as the case may be , pro - rata , depending on the number of MCA seats won by each Founding Member Party in the particular County Assembly .

b ) The specific criteria for sharing positions of responsibility / leadership in each County Assembly pursuant to this Article shall be agreed upon by the Coalition Members of County Assembly in consultation with and concurrence of the Party Leaders Forum .

ARTICLE 20 : SHARING OF LEADERSHIP OF PARLIAMENTARY COMMITTEES

a ) Subsequent to the General Elections of 9th August 2022 , the Founding Member Parties shall allocate positions of Responsibility / Leadership particularly the positions of Chairpersons of Parliamentary Committees of the National Assembly and the Senate , pro - rata , depending on the number of National Assembly or Senate seats won by each Founding Member Party and depending further on the need to achieve an inclusive Government that reflects the face of Kenya, including the need to accommodate the representation of any Future Member Party and / or regions of Kenya .

b ) The criteria for allocating the Committees which shall be available to be chaired by nominees of which Member Party shall be contained in a separate schedule to this Agreement , which Schedule shall be negotiated and executed before the date of the General Elections scheduled for 9th August 2022 .

ARTICLE 21 : SHARING OF NATIONAL GOVERNMENT RESPONSIBILITIES

a ) UDA shall nominate the Coalition's Presidential and Deputy Presidential Candidates in the General Elections of 9th August 2022 .

b ) ANC and FORD - Kenya shall actively support and campaign for the Coalition's Presidential and Deputy Presidential Candidates nominated by UDA pursuant to the provisions of this Agreement .

c ) The President of the Republic elected under the Coalition ticket shall respect, defend and give full effect to the Constitutional role , functions and mandate of the Deputy President of the Republic, and the President of the Republic shall guarantee the stature , dignity and the financial and operational autonomy of the office of the Deputy President of the Republic in accordance with Constitution and other relevant laws .

d ) Pursuant to Article 147 of the Constitution , the President of the Republic elected under the Coalition ticket shall by Executive Order published in the Kenya Gazette , assign substantive functions to the Deputy President to ensure proper and efficient management and running of Government 

e ) The functions of the Deputy President assigned under the foregoing provisions shall be to :

1. Chair Cabinet Committees ;

2. Oversee the implementation of Cabinet decisions ;relations between the National

3. Coordinate intergovernmental Government and County Governments ;

4. Coordinate the planning and supervise the implementation of development partners ' funded programmes and projects ;

5. Coordinate Constitutional Commissions and independent offices in matters that require the intervention of National Government including but not limited to budgets and policy frameworks for their operation ; and

6. Perform any other function ( s ) as may be assigned by the President .

f ) ANC shall nominate the Prime Cabinet Secretary for Appointment by the President of the Republic in accordance with the Constitution .

g ) The President of the Republic elected under the Coalition's ticket shall accept and appoint the ANC nominee to the post of Prime Cabinet Secretary provided that the nominee shall meet the qualifications set out in the relevant law .

h ) pursuant to Article 131 ( 1 ) ( b ) and Article 132 ( 3 ) ( c ) of the Constitution , the President of the Republic shall , within fourteen ( 14 ) days of being sworn - in following the General Elections scheduled on 9th August 2022 , create the position of Prime Cabinet Secretary .

i ) The President of the Republic elected under the Coalition ticket shall by Executive Order published in the Kenya Gazette , assign substantive functions to the Prime Cabinet Secretary.

j ) The functions of the Prime Cabinet Secretary shall be to :

1. Assist the President and the Deputy President in the coordination and

supervision of Government Ministries and State Departments .

2. Coordinate and supervise National Government functions and oversee the

implementation of National Government policies and programmes and as such , the Ministries responsible for interior and co - ordination of National Government shall be placed under the office of the Prime Cabinet Secretary .

3. Chair and Coordinate Government legislative agenda across all Ministries and State Departments in consultation with and for transmission to the Coalition's Leaders in Parliament .

4. Coordinate and supervise the technical monitoring and evaluation of government policies , programmes and projects .

5. Perform any other function ( s ) as may be assigned by the President .

k ) Within thirty ( 30 ) days following the General Elections scheduled on 9th August 2022, the Coalition shall introduce in Parliament legislation that shall provide greater legal clarity on the position , roles and functions of Prime Cabinet Secretary . The legislation so introduced shall amend the National Government Coordination Act of 2013 to include the office of the Prime Cabinet Secretary and incorporate and align the functions of the office of Prime Cabinet Secretary as proposed herein to the existing structures under the aforesaid Act .

( ) FORD - Kenya shall nominate the Speaker of the National Assembly for election in accordance with the Constitution .

m ) The President of the Republic elected under the Coalition's ticket shall accept FORD- Kenya's nominee to the post of Speaker of the National Assembly and the Members of the National Assembly elected or nominated through the Member Parties shall support the nominee in the election of Speaker of the National Assembly to occur at the swearing - in of the members of the 13th Parliament Cabinet Secretaries ,

n ) ANC and FORD - Kenya shall have 30 % share of the positions in the National Secretaries , Principal Government including Ambassadors / High Commissioners / Heads of Diplomatic Missions , Chairpersons of State Corporations , Directors of State Corporations and Chairpersons and Commissioners of Constitution Commissions PROVIDED that the aforesaid 30 % share positions in the National Government shall be shared equally between ANC and FORD Kenya .

o ) Further terms, parameters and details of the sharing of positions of responsibility in the National Government pursuant to this Article shall be contained in a separate Schedule to this Agreement , which Schedule shall be negotiated and executed before the date of the General Elections scheduled on 9th August 2022 .

ARTICLE 22 : PRIORITY PROJECTS

Pursuant to the principles of equity in national development and fair allocation of national resources the Kenya Kwanza Alliance Administration shall endeavor to fulfil the following developmental obligations in the ANC and FORD Kenya strongholds of Western Kenya within the electoral period starting 2022 and ending in 2027 , on a PRIORITY BASIS :

( a ) Completion of all existing incomplete or stalled bitumen road projects within the aforesaid countles OF 9th August 2022 .

( b ) Construct a cumulative one thousand ( 1000 ) kilometers of new bitumen roads .

( c ) Allocate nationally raised revenue for the revival and modernization of Mumias Sugar Factory , Nzoia Sugar Factory as well as other sugar factories .

( d ) Establish manufacturing , fisheries , agro - processing or housing projects as may be resolved by the Party Leaders Forum.

( e ) The development projects herein specified are priority projects which shall be implemented alongside other projects to be identified within the normal and ordinary course of development planning of the Government of Kenya .

( f ) Future Member Parties and / or regions of Kenya may negotiate for completion of old projects or implementation of new road or other projects in other parts / regions of Kenya to ensure equity in the sharing of the nationally raised revenue by all the people of Kenya .

( g ) Notwithstanding the content of this Article , the Founding Member Parties hereby commit to make any adjustments that may be necessary to accommodate the development priorities of other parts of the Country to ensure equitable distribution of Kenya's National resources and wealth for the benefit of every citizen and every part of Kenya .

ARTICLE 23 : POLITICAL PARTY FUNDS

a ) The Founding Member Parties shall respect the formula and framework for sharing of any monies allocated through the Political Parties Fund as provided for under the Political Parties Act and any other law that may be in force from time to time .

b ) The formula and framework for sharing of monies allocated through the Political Parties Fund and any other funds raised collectively by the Coalition may be further elaborated in a separate schedule to this Agreement .

ARTICLE 24 : ADDITIONAL MEMBER PARTIES

By Consensus of the Party Leaders Forum , new Member Parties may be admitted to the Coalition before or after the General Elections scheduled for 9th August 2022 , subject to such terms and conditions as may be agreed .

ARTICLE 25 : AMENDMENT / VARIATION

This Agreement may be amended and / or varied in writing through a Deed of Variation and / or a Schedule to this Agreement , provided that such Deed of Variation and / or Schedule is approved and / or signed by all members of the Party Leaders Forum .

ARTICLE 26 : DISPUTE RESOLUTION

a ) Disputes between Member Parties arising out of the interpretation and / or application of this Agreement or its Schedules / Deeds of Variation shall be resolved amicably through direct negotiations .

b ) Disputes between one or more individual members of a Member Party and the Coalition relating to the running of the affairs of the Coalition may be initiated by the Member Party to which the individual member ( s ) belong ( s ) , such disputes shall be addressed to the Chairperson of the Coalition's Secretariat for onward transmission and reference to the Party Leaders Forum .

c ) In the event that direct negotiations fail to resolve the matter within thirty ( 30 ) days , the Party Leaders Forum shall refer the matter to a Mediator identified by consensus .

d ) In the event of failure of direct negotiation and Mediation , any aggrieved Member Party may seek legal redress in the Political Parties Dispute Tribunal and / or seek judicial settlement in the Courts in accordance to the applicable laws of the Republic of Kenya .

e ) The Party Leaders Forum may delegate their responsibilities under this Article to a Coalition Dispute Resolution Panel of three ( 3 ) persons appointed by the Coalition Secretariat on ad hoc basis to deal with a determinate number of disputes .

ARTICLE 27 : APPLICABLE LAWS

This Agreement shall be interpreted and / or applied subject to the applicable laws of the Republic of Kenya .

ARTICLE 28 : BREACH

a ) Any Member Party in breach of this Agreement or any of its Schedules / Deeds of Variation will be notified by the Chairperson of the Coalition Secretariat of the breach , and if the Chairperson of the Coalition Secretariat at the material time is the Secretary - General of the Member Party in breach , by any of the other two members of  the Coalition Secretariat .

b ) The notice of breach shall specify and provide the particulars of the breach and require remedy of the breach within thirty ( 30 ) days , failure to which the author of the notice shall refer the matter to Party Leaders Forum for resolution in accordance with the dispute resolution mechanism and procedures under this Agreement .

c ) Nothing in this Article restricts a Member State aggrieved by the outcome of the decision of the Party Leaders Forum under this Article , or inaction thereof , from pursuing remedies from the Political Parties Dispute Tribunal or Courts of Law in accordance with this Agreement and the applicable laws of Kenya .

ARTICLE 29 : TERMINATION

This Agreement shall terminate on the date of the 2027 General Elections provided that the Agreement may be extended for such a period and subject to such terms and conditions as may be agreed by consensus of the Party Leaders Forum .

ARTICLE 30 : DISSOLUTION

a ) The Coalition shall stand dissolved in the event of withdrawal from the Coalition in writing of any two of the Founding Member Parties .

b ) Withdrawal from the Coalition shall be in writing and shall be addressed to the Registrar of Political Parties and copied to all the Secretaries- General of the Founding Member Parties .

c ) Withdrawal shall take effect thirty ( 30 ) days from the date of the notice of withdrawal .

d ) In the event of dissolution of the Coalition , any common assets and / or  liabilities shall be shared proportionately as may be determined by an independent auditor to be appointed by the Party Leaders Forum .

ARTICLE 31- ORIGINAL COPIES OF AGREEEMENT

a ) This Agreement is made, printed, and executed in four ( 4 ) original copies.

b ) Each of the Founding Member Parties shall have custody of one ( 1 ) original copy and the fourth copy shall be deposited for custody with an Advocate of the High Court of Kenya agreed on by consensus of all the Party Leaders of the Founding Member Parties .
